BESTEE OF THE MONTH OFFICIAL RULES

The Bestee of the Month Awards are being given to recognize the best printed design each month during the calendar year, as voted on by registered users within the active Threadless.com community. Starting in January, each month, $2,500 will be given to the design receiving the most votes as determined by the Threadless.com community. At the end of the year, the 12 Bestee of the Month Award winners will be placed on the ballot for the People's Choice Design of the Year.

1. Eligibility. The Bestee of the Month Awards ("Bestee(s)") are open only to registered members of Threadless.com who are 18 years of age or older. Proof of age may be required. Employees, officers, directors and representatives of Threadless.com ("Sponsor") are not eligible for a Bestee Award. A purchase on Threadless.com will not have any impact or bearing on your chance of winning a Bestee Award. The Bestee of the Month Awards eligibility period will begin each month on the first business day of that month and will end on the last business day of each month ("Eligibility Period"). For the avoidance of doubt, a business day is any weekday, Monday through Friday, that isn't a holiday or a weekend. You must be a registered member of Threadless.com and have submitted a design on Threadless.com that is selected for print in order to be considered for a Bestee of the Month Award. To register, visit www.threadless.com and fully complete all required fields on the online registration form as presented and submit the online registration form. To submit a design, visit http://es.threadless.com/submit/design and follow the directions as provided for submitting your original designs. The Threadless Submission Terms shall apply to all submissions http://es.threadless.com/submitterms.html. There is no cost or fee to register or submit a design. Void where prohibited by law. 2. Bestee of the Month - Process. Voting for each month will be held for seven (7) days, commencing on the Monday of the second week of the following month, with the results being announced approximately 2 - 3 weeks later. (For example, voting for the January 2009 Bestee of the Month will begin on February 9th and will be open through February 16th, and the results will be announced around March 1st). This process will take place for all twelve (12) months in the calendar year. Each month, the design receiving the highest number of votes from the registered Threadless.com community will receive $2,500 from Threadless.com, in addition to any compensation already received for having a design selected by Threadless.com.
   
   As consideration for receiving a Bestee of the Month award, the selected designer(s) agree(s) to waive any and all future reprint compensation as set forth in the Submission Terms http://es.threadless.com/submitterms.html. All other terms and conditions set for the in the Submission Terms shall remain in effect.
   
   Voting in the Threadless.com People’s Choice Bestee is open to all active community members – limit one vote per registered community member per monthly voting cycle. All voting will be subject to verification and certification by Threadless.com. No automatic, programmed, or similar means of voting are permitted. Participants who do not comply with these Terms and Conditions, or who attempt to interfere with the voting process or the operation of the website in any way will be disqualified and their votes will not be counted. Threadless.com reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend voting should any virus, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the voting process. All decisions regarding the voting process are final and will not be subject to challenge or appeal.
   
   Threadless.com, its affiliates and partners are not responsible for any technical, hardware, software, or other malfunctions, errors or failures of any kind, lost or unavailable network connections, web site, internet, or ISP availability, unauthorized human intervention, traffic congestion, incomplete or inaccurate capture of voting information (regardless of cause) or failed, incomplete, or delayed computer transmissions which may limit one's ability to vote, including any injury or damage to participant's or any other person's computer relating to or resulting from participating in the voting process. Threadless.com is not responsible for lost, late, invalid or technically corrupted votes, which will be disqualified. Threadless.com shall use commercially reasonable efforts to ensure the security and accuracy of all votes and the voting process provided, however, that you acknowledge and agree that such methodologies are not infallible, and that Threadless.com makes no guarantee as to their effectiveness. All votes and/or voting data become the sole property of Threadless.com and will not be acknowledged or returned.
   
   Any attempt by a participant to intentionally damage the website or compromise or manipulate the voting process may be a violation of both criminal and civil laws. Threadless.com reserves the right to seek damages to the fullest extent permitted by law from any such person attempting to do so.
3. Notice. Selected winners will be notified by e-mail (via the current e-mail address associated with selected winner’s registered account) on the date the winners will be announced. Threadless.com shall have no liability for any winner notification that is lost, intercepted or not received by an award winner for any reason. In Threadless.com’s sole discretion, a selected winner may be required to forfeit his/her Bestee Award and the first runner-up may be selected in accordance with these Official Rules from among the remaining eligible nominees if such selected winner is unreachable or winner notification is returned as undeliverable; or if the selected winner fails to comply with these Official Rules.
4. General Conditions. By participating in the Bestees, each entrant agrees to be bound by these Official Rules and the decisions of Threadless.com, which are final and binding in all respects and cannot be appealed. No more than the number of Bestees Awards stated in these Official Rules will be awarded.
   
   No transfer, assignment or substitution of Bestee of the Month Awards are permitted by winners. Each winner is solely responsible for the reporting and payment of any applicable federal, state, provincial and/or local taxes on his/her Bestee of the Month award. Winners may be responsible for filling out and returning to Threadless.com an IRS form W-9 for tax reporting purposes.
   
   By accepting a Bestee award, each winner agrees and acknowledges, without any limitation or further compensation, that Threadless.com may use his or her name, voice, biographical data and/or likeness in any and all media now known or hereinafter devised, throughout the universe and in perpetuity, for any commercial purpose including, but not limited to, advertising and promoting the Bestees Awards, except where prohibited by law. Threadless.com disclaims any liability for damage to any computer system related to participating in, or accessing or downloading information in connection with the Bestees Awards or the People’s Choice Award.
   
   Threadless.com assumes all entries are original and the nominee created and owns the nominated artwork, with all rights maintained therein, with the exception of those certain rights agreed to when the artwork was originally submitted to Threadless.com. In the event that a nominee’s work is later found to be copied from or in violation of the intellectual property rights of a third party with which the nominee has no rights to, the nominee will not be eligible for the Bestees Awards. If a Bestee Award winner is found to have breached these rules, Threadless.com shall reserve the right to reclaim the full amount of Bestee Award money in addition to any legal fees the Threadless.com may be forced to remit in connection with any legal proceedings it may encounter with regards to the design in question.
   
   The categories for the Threadless.com Bestees Awards are subject to change for future Bestees Awards presentations and may vary in subsequent years.
5. Legal Conditions. The Bestee Elephant, commonly known as the “Bestee” is the copyrighted property and trademark of skinnyCorp, LLC (“Threadless.com”). Threadless.com has the sole and exclusive right to reproduce, manufacture, copy, sell, display images of and publish said statuette in any size or medium, whether in three or two dimensions, and to distribute or exploit the trophy or reproductions of same by gift, sale, license or otherwise. No reproduction, replica, drawing, photograph, derivative work or other copy of the Bestee trophy may be made or used by any manufacturer, advertiser, organization or individual except in accordance with these regulations or under express written license from Threadless.com.
   
   “Threadless,” “Nude No More,” and the “Bestee” design mark are the registered intellectual property of skinnyCorp, LLC, and may not be used except in accordance with these regulations or under a special written license from Threadless.com.
   
   Any use of the marks “Threadless,” “Nude No More,” and the “Bestee” design mark must include notice of trademark and credit skinnyCorp, LLC as the owner of said marks (“TM”), except as provided below.
   
   Threadless Bestee winners have no rights whatsoever in the skinnyCorp, LLC copyright or in its trademark registrations. Award winners must comply with these rules and regulations.
   
   News and editorial uses of skinnyCorp, LLC symbols and marks in stories and articles appearing in newspapers, periodicals, digital publications, web sites are subject to the following condition: all published representations of the Bestee trophy, including photographs, drawings and other likenesses, must include the legend “© skinnyCorp” to provide notice of copyright.
6. Governing Law. All issues concerning the construction, methodology, validity and enforcement of these Official Rules, or the rights and obligations of the entrant and Sponsor, shall be construed and governed by the laws of the state of Illinois, without regard to conflicts of law. All suits or claims brought in connection with the Bestees must be brought in a state or federal court in Chicago, IL.
